Letters of Representations

Letters of Representations are form agreements. They contain certain representations that must be made to DTC by the issuer and others before various issue types (e.g., book-entry-only issues, Rule 144A issues, Reg. S issues) can be made eligible for deposit at DTC and for DTC book-entry services. Forms for different issue types are set forth below.

Riders

These consist of optional riders that, if appropriate, may be appended to Letters of Representations.

Forms of Notes

Forms of Master Notes are provided for MMIs. All book-entry-only security certificates deposited with DTC must bear or be stamped with a DTC legend, which is provided on all the forms of Master Notes.

Special Letters 

  • Gaming Letter
    (Acrobat .pdf, 18KB, Updated 03/2008. A Gaming Letter is required for issuers involved in activity subject to Gaming and/or other types of Regulatory Commissions.)
  • REIT Letter
    (Acrobat .pdf, 18KB, Updated 03/2008. A REIT Letter is required for equity issuances by a REIT issuer subject to ownership percentage thresholds.)
  • Seg-100 Letter
    (Acrobat .pdf, 19KB, Updated 03/2008. A Seg-100 Letter is required for equity issues subject to share ownership threshold restrictions by U.S. or non-U.S. citizens.)
  • Dual Purpose Exchange/Shelf Registration Letter
    (Acrobat .pdf, 51KB, Updated 03/2008. A Dual Purpose Exchange/Shelf Registration Letter is used to notify DTC of an SEC Registration Statement for Shelf Registration filing of issues previously made eligible at DTC pursuant to Rule 144A and Regulation S.)
