Recipient acknowledges that the ACATS or CBRS Record Layouts (the "Record Layouts") provided herein are the property of The Depository Trust & Clearing Corporation and/or subsidiaries thereof (collectively, "DTCC"). Recipient agrees to protect the proprietary position of DTCC, and further agrees that without DTCC's prior written consent, Recipient shall not publish, transfer or sell such Record Layouts or copies thereof, or any extracts therefrom in any form, or summaries thereof, (the Record Layouts, and any copies, extracts or summaries thereof, collectively, "Information") to any other person or organization; provided, however, that this restriction shall not be deemed to prohibit the use of the Information by Recipient for its internal purposes in the ordinary course of clearing and settling its securities transactions through DTCC; provided further, however, that Recipient shall not be permitted to publish or transfer such Information to any other person or organization, including clients of Recipient, who, to Recipient's knowledge publishes, transfers or sells such Information or would do so.
