Advance Shareholder Communications With Proxy Services  

Proxy Services help companies that issue DTC-eligible securities share important information about corporate events. DTC gives these companies the information they need to contact the DTC participants that hold their securities. Those participants then pass the information along to their customers, including the people or organizations that ultimately own the securities.

DTC is listed as the official holder of record for securities that can be held at DTC. But DTC does not keep the voting rights for those securities. Instead, it gives those voting rights to the DTC participants that held the securities on the record date. DTC does this through a document called an Omnibus Proxy.

The day after the record date, DTC sends the Omnibus Proxy to the issuer. DTC also sends a Security Position Report. This report shows which DTC participants held the security and how much they held at the close of business. It also includes contact information, such as each participant’s name, address, phone number and proxy contact. This helps the issuer reach out to those firms directly.

At the same time, DTC tells the participants that hold the security that they have the right to vote. Issuers and approved third-party agents can also use DTC’s Security Position Report web service throughout the year to get updated position information when they need it.
